# Affiliate Agreement

Version 2026-11-06. This agreement is between you and **Wells Software Consulting LLC**, doing business as PinSharing ("we", "us"). It applies once we approve your application to the PinSharing affiliate program. The [Terms of Service](https://pinsharing.com/terms) still apply to your own use of PinSharing.

## 1. Joining

You apply from your PinSharing dashboard. We may accept or decline any application. You must be at least 18 and able to receive payments by PayPal or Wise. You join as an independent contractor: nothing here makes you our employee, agent or partner, and you can't make promises on our behalf.

## 2. Your link and who counts as your referral

We give you a link with your code. When someone follows it, our site remembers your code in their browser for 60 days; if they follow another affiliate's link later, the later one counts. A customer is your referral if, while your code is remembered, they create a new PinSharing account or buy a plan at checkout with a new account. Each customer account is credited to one affiliate, once, and that never changes. Accounts that already existed, people who block cookies, and accounts we can't link to your code aren't referrals. Our records decide.

## 3. Commission

You earn 20% of the amounts we actually receive from a referral for a PinSharing plan (Starter, Growth or Business, monthly or yearly), after discounts and credits and excluding taxes, for payments made in the 12 months starting with the referral's first paid invoice. There's no commission on: free plans and trials; Enterprise, invoiced or custom agreements, unless we agree in writing; data licences and other products; or accounts that belong to you, your company, your employer or anyone acting with you.

## 4. Hold, refunds and chargebacks

Each commission is held for 30 days after the payment. If the payment is refunded or disputed, the matching share of the commission is cancelled. If that happens after we've paid you, we take it off your next payouts. If the program or this agreement ends while you owe us an amount, we may ask you to repay it.

## 5. Payouts

We pay on the 15th of each month (or the next business day) the commissions that have finished their hold, when the total is at least $50. Smaller amounts roll over. We pay in US dollars by PayPal or Wise to the account email you give in your dashboard, and we cover our own sending fees. Before your first payout you must email us a completed IRS Form W-9 if you're a US person, or Form W-8BEN (or W-8BEN-E for a business) if you're not, at billing@pinsharing.com. We'll file information returns, such as Form 1099-NEC, where the law requires. You're responsible for your own taxes. If we can't pay you because your payout details or tax form are missing or wrong, the money stays in your balance.

## 6. Rules

You must not:

- refer yourself, your company, your employer, or accounts you control or create;
- bid on "PinSharing", "pinsharing.com" or similar words or misspellings in paid search or social ads, or use them in domain names, app names or social handles;
- list PinSharing on coupon, deal, cashback, rewards or incentive sites, or publish discount codes;
- resell, broker or sublicense PinSharing plans, API keys or access, or offer PinSharing "at a discount" through you;
- send spam or unsolicited bulk messages, or break anti-spam laws such as CAN-SPAM;
- set cookies on people who didn't click your link, hide your link in frames or pop-ups, or use bots, scripts or other tricks to create clicks or accounts;
- say things about PinSharing, its features, prices, data or guarantees that aren't true, or present yourself as PinSharing or as speaking for us.

You must clearly disclose that you earn a commission whenever you share your link, as the US Federal Trade Commission's endorsement rules and similar laws require.

## 7. Our name

You may use the name PinSharing and describe the product accurately to promote it. Don't change our name or logo or suggest we endorse you beyond this program.

## 8. Breaking the rules

If you break section 6, or we reasonably believe you have, we may cancel the commissions involved, hold your balance while we look into it, suspend your link, and end this agreement. Commissions earned through a breach are never payable.

## 9. Changes and ending

We may change this agreement or the program, including the rate and the rules, by giving 30 days' notice by email and on this page; changes don't reduce commissions on payments already made. Either of us may end this agreement at any time by email. When it ends other than under section 8, we'll pay your balance for payments made before the end, once their hold is over, even if it's under $50.

## 10. Liability and law

The program is provided "as is". To the extent the law allows, our total liability under this agreement is limited to the commissions paid or payable to you in the 12 months before the claim, and neither of us is liable for indirect or consequential losses. This agreement is governed by the laws of the State of Illinois, and disputes about it will be decided in the state courts of Kendall County, Illinois or the federal courts of the Northern District of Illinois.
